No TDS Default Made Out in ₹43 Crore Commission Paid by NDTV: ITAT

The Delhi Bench of the Income Tax Appellate Tribunal (ITAT) has ruled that no tax deduction at source (TDS) default could be established in relation to commission payments amounting to ₹43 crore made by New Delhi Television Ltd., delivering significant relief to the media company in a tax dispute for the Assessment Year 2010–11. The bench of Madhumita Roy (Judicial Member) and Manish Agarwal (Accountant Member) has observed that the disallowance made by the Income Tax Department under Section 40(a)(ia) of the Income Tax Act could not be sustained in the absence of a clear obligation on the assessee to deduct tax at source on the commission payments in question. The dispute originated during scrutiny proceedings conducted by the Deputy Commissioner of Income Tax (DCIT), Circle-18(1), New Delhi. During the assessment for AY 2010–11, the Assessing Officer proposed several additions to NDTV’s declared income. In the draft assessment order issued under Sections 143(3) and 144C(1) of the Income Tax Act, the officer recalculated the company’s taxable income after proposing multiple adjustments, the largest of which related to commission payments totaling ₹43,00,37,977. The tax department alleged that NDTV had failed to deduct tax at source on these payments. Consequently, the entire amount was disallowed as a business expenditure under Section 40(a)(ia), which provides for disallowance of certain expenses where TDS obligations are not complied with. Apart from the commission disallowance, the assessment order also included other additions such as: ₹3.44 crore towards transmission and uplinking charges; ₹1.34 crore disallowed under Section 14A read with Rule 8D; and Transfer pricing adjustments exceeding ₹3 crore relating to international transactions with associated enterprises. NDTV challenged the draft assessment order before the Dispute Resolution Panel (DRP), which granted partial relief but upheld certain adjustments. Both the Revenue and the company subsequently approached the ITAT. While examining the commission payment issue, the tribunal analysed whether the payments made by NDTV attracted the statutory requirement to deduct tax at source. After considering the submissions of both sides and reviewing the nature of the transactions, the ITAT held that the Revenue had failed to establish that the payments were liable for TDS deduction under the applicable provisions of the Income Tax Act. The tribunal therefore concluded that no TDS default could be made out in respect of the commission payments, making the disallowance under Section 40(a)(ia) unsustainable. Since the disallowance provision operates only where there is a clear failure to deduct tax that was legally required to be deducted, the absence of such obligation meant the addition could not stand. Apart from the commission payment dispute, the tribunal also reviewed transfer pricing adjustments arising from NDTV’s dealings with associated enterprises. The Transfer Pricing Officer (TPO) had proposed adjustments amounting to about ₹3.29 crore, which included: ₹39.02 lakh relating to business support services and ₹2.90 crore linked to a corporate guarantee issued by the company Following directions issued by the DRP, the final assessment order slightly reduced the adjustment but the matter remained contested before the tribunal. The decision is likely to draw attention among tax professionals and corporations, particularly those making large commission payments or engaging intermediaries in commercial transactions. Section 40(a)(ia) has frequently been invoked by tax authorities to disallow expenses where TDS compliance is questioned. However, the ITAT’s ruling reiterates that such disallowances can only be sustained if the Revenue first establishes that the payment was indeed subject to TDS under the law. Legal experts note that the judgment reinforces the principle that expense disallowance cannot be invoked merely on suspicion of non-deduction of tax; the underlying obligation to deduct tax must first be clearly demonstrated. With the ITAT holding that no TDS default was made out in respect of the Rs. 43-crore commission payments, the ruling represents a major development in the tax litigation involving NDTV and highlights the careful scrutiny tribunals apply when examining TDS-related disallowances.
