MCA Notifies Companies (Registration Offices and Fees) Amendment Rules, 2025; New GNL-1 Form to Be Effective from July 14, 2025

The Ministry of Corporate Affairs (MCA) has notified Companies (Registration Offices and Fees) Amendment Rules, 2025 to amend the Companies (Registration Offices and Fees) Rules, 2014. 

The  Companies (Registration Offices and Fees) Amendment Rules, 2025  will come into effect from July 14, 2025.

The key highlight of the amendment is the replacement of the existing Form GNL-1 with a revised format. 

The new GNL-1 form standardizes the process of filing applications with the Registrar of Companies (RoC) for various purposes, including Compounding of offences under the Companies Act, 2013; Extension of the deadline for holding the Annual General Meeting (AGM) by up to three months; Filing of schemes related to arrangement or amalgamation; and  Other miscellaneous applications under specific sections of the Act.

The revised form requires detailed disclosures including the purpose of filing, applicant and company details, notice references (if any), period and reasons for default (if applicable), and explanations for delays. It also includes specific provisions to declare ongoing investigations by enforcement agencies like SFIO.

A significant compliance feature introduced is the mandatory digital signature by authorized personnel and a certification from a practicing professional — such as a Chartered Accountant, Company Secretary, or Cost Accountant — affirming the authenticity and accuracy of the submission.

The amendment has been introduced under the powers conferred by Sections 396, 398, 399, 403, and 404 of the Companies Act, 2013, read with Section 469.
