Delhi High Court Quashes Rs. 96 Crore Reassessment Citing ‘Change of Opinion’, Limitation Bar

The Delhi High Court has set aside reassessment proceedings and a Rs. 96.04 crore tax demand against Delhi Sports and Entertainment Private Limited, holding that the Income Tax Department’s action was legally unsustainable due to “change of opinion” and violation of statutory limitation under the Income Tax Act. The bench of Justice Dinesh Mehta and Justice Vinod Kumar, the Court quashed multiple proceedings initiated by the department, including notices issued under Sections 148 and 148A, as well as the ex-parte assessment order dated December 5, 2025. The petitioner company, engaged in organizing sports events and managing teams, had filed its income tax return for Assessment Year (AY) 2017–18 declaring a loss of ₹1.68 crore. The case was selected for scrutiny, and after a detailed examination of issues such as share capital, investments, and expenses, the Assessing Officer (AO) passed an order under Section 143(3) in November 2019 accepting the transactions and determining a revised loss. However, reassessment proceedings were later initiated in 2021 based on a tax evasion complaint. Following a series of procedural developments—including the impact of the Supreme Court’s ruling in Union of India v. Ashish Agarwal—fresh notices were issued in 2022 and 2023. Ultimately, an ex-parte best judgment assessment order was passed in December 2025 under Sections 147/144, raising a tax demand of over ₹96 crore and invoking Section 115BBE for higher taxation. The Court examined two central questions: First, whether reassessment proceedings were invalid as a “change of opinion”; second, whether the notices issued were barred by limitation under Section 149. The High Court found that the issues forming the basis of reassessment—particularly share capital and investments—had already been thoroughly scrutinized during the original assessment proceedings. The bench emphasized that once a detailed assessment is completed under Section 143(3), reopening the case on the same material amounts to a mere “change of opinion,” which is impermissible in law. Relying on the landmark judgment in CIT v. Kelvinator of India Ltd., the Court held that reassessment cannot be used as a tool for review or reconsideration of concluded findings. “Initiation of reassessment proceedings… was nothing more than a mere change of opinion,” the Court observed. On the issue of limitation, the Court ruled that the reassessment notice issued on July 30, 2022 was time-barred. For AY 2017–18, the standard limitation period of three years (extended to June 30, 2021 due to COVID-related relaxations under TOLA) had already expired. The Court held that even after applying the Supreme Court’s ruling in Union of India v. Rajeev Bansal, the Revenue had only a limited “surviving period” to issue fresh notices. The bench concluded that the permissible window expired on June 21, 2022, whereas the impugned notice was issued more than a month later. The department argued that the company had already filed an appeal before the Commissioner of Income Tax (Appeals), and therefore the writ petition should not be entertained. Rejecting this contention, the Court held that the existence of an alternate remedy does not bar writ jurisdiction where proceedings are ex facie without jurisdiction or illegal.
