GST Registration Can’t Be Cancelled on ‘Investigative Dictation’ and Vague ITC Allegations: Gauhati High Court

The Gauhati High Court has held that the Goods and Service Tax (GST) registration cannot be cancelled on ‘investigative dictation’ and vague Input Tax Credit (ITC) allegations. The bench of Justice Arun Dev Choudhury has quashed the cancellation of GST registration of a Guwahati-based proprietor, holding that the action was taken mechanically, under investigative dictation, and on the basis of a vague show-cause notice. The petitioner/assessee, sole proprietor of a GST-registered concern in Guwahati, had challenged three interlinked actions by GST department show-cause notice proposing cancellation of registration under Rule 21(e) of the CGST Rules read with Section 16 of the CGST Act; the order cancelling registration; and the rejection of his application seeking revocation of cancellation. The show-cause notice merely stated that the petitioner had “availed input tax credit in violation of Section 16 of the Act and the Rules made thereunder” and called upon him to explain why his registration should not be cancelled. The petitioner contended that the notice failed to disclose any material particulars. It did not mention the relevant tax period, the invoices involved, the suppliers in question, or the quantum of allegedly ineligible input tax credit. Despite filing a detailed reply objecting to the vagueness of the allegations, the authorities proceeded to cancel the registration. The record revealed that prior to the cancellation order, a Joint Director had written to the Principal Commissioner requesting cancellation of the petitioner’s GST registration while an investigation was ongoing. The Court found that the cancellation order followed this request. Subsequently, when the petitioner sought revocation, the department issued another communication stating that, as per an interim DGGI investigation report, the petitioner had availed ITC of ₹8.26 crore without reflection in GSTR-2B and had failed to satisfy conditions under Section 16(2). The revocation application was later rejected using identical reasoning. The court observed that the sequence of events disclosed “not an independent exercise of statutory discretion, but a mechanical endorsement of an investigative dictum.” The Court underscored that cancellation of GST registration has serious civil consequences, as it deprives a taxpayer of the ability to carry on business in a system where registration is the gateway to trade. The court held that a show-cause notice cannot be reduced to a “ritualistic recitation of statutory language.” A bald allegation of violation of Section 16 without disclosing material particulars does not constitute “due notice.” An opportunity of hearing must be meaningful and not an empty formality. The failure to specify tax periods, invoices, suppliers, and quantification of the alleged ineligible credit rendered the notice arbitrary and unsustainable. Relying on the Supreme Court’s ruling in Orient Paper Mills Ltd. v. Union of India, the Court reiterated that when a statute vests quasi-judicial power in an authority, such power must be exercised independently and cannot be controlled or dictated by another authority. The Court found no material on record to show that the Proper Officer independently evaluated the matter before cancelling the registration. Instead, the action appeared to have been triggered by the investigating wing’s request. The judge emphasized that such independence is not merely an administrative courtesy but a constitutional imperative flowing from the rule of law. The High Court also took exception to the manner in which the revocation application was handled. The so-called show-cause notice on revocation stated that the application was “liable to be rejected” in the same breath in which it invited an explanation. The final rejection order reproduced the earlier reasoning verbatim, without any independent analysis of whether the alleged GSTR-2B discrepancy satisfied the statutory requirements under Section 16(2) or attracted Rule 21(e). A quasi-judicial order, the Court held, must “speak for itself” and demonstrate application of mind. Mechanical reproduction of investigative allegations cannot substitute reasoned adjudication. The court directed the restoration of petitioner’s GST registration. The Court clarified that authorities are at liberty to initiate fresh proceedings in accordance with law, provided they issue a detailed show-cause notice clearly specifying the precise allegations, the tax period involved, the invoices and suppliers relied upon, and the quantification of the alleged ineligible credit, and grant a reasonable opportunity of hearing.
