Service Tax Not Leviable on Cost Sharing, Royalty and GAM Expenses: CESTAT Quashes Major Demands Against Expeditors International

The Customs, Excise and Service Tax Appellate Tribunal (CESTAT), New Delhi, has set aside substantial service tax demands raised against Expeditors holding that payments towards Global Account Manager (GAM) expenses, royalty for technical know-how, and cost-sharing arrangements are not liable to service tax under the Finance Act, 1994. The bench of Dr. Rachna Gupta (Judicial Member) and Hemambika R. Priya (Technical Member) struck down the invocation of the extended period of limitation. It held that mere detection of discrepancies during audit does not justify allegations of suppression or wilful misstatement. Since the assessee was regularly filing returns and was under departmental scrutiny, the extended limitation period could not be invoked. The Tribunal delivered its decision on April 16, 2026, while adjudicating appeals filed by the assessee against orders confirming service tax demands along with interest and penalties for the period spanning 2006–07 to 2011–12. The dispute primarily revolved around taxability of various cross-border payments made by the Indian subsidiary to its foreign parent entity, including GAM expenses, royalty payments, leased circuit charges, and other shared costs. On the issue of Global Account Manager (GAM) expenses, the Department had sought to classify the services under “Business Auxiliary Services” and levy service tax. However, the Tribunal rejected this classification, observing that the show cause notice itself proposed taxation under a specific category, and demand cannot be sustained under a different head. It reiterated the settled principle that adjudication must remain confined to the allegations made in the show cause notice. Accordingly, the demand on GAM expenses was set aside. The Tribunal also dealt with the taxability of leased circuit services obtained from foreign service providers. It relied on earlier precedents to hold that such services would fall under “telecommunication services” and, during the relevant period, were taxable only when provided by a “telegraph authority.” Since the services were rendered by foreign vendors, the demand was held to be unsustainable and was consequently quashed. A key aspect of the ruling relates to royalty payments made by the assessee to its parent company for use of technical know-how. The Department had attempted to tax these payments under “management consultancy services.” Rejecting this approach, the Tribunal held that transfer of technical know-how cannot be equated with consultancy services. It emphasized that such transactions are in the nature of intellectual property transfer and not advisory or consultancy services, thereby falling outside the service tax net. Further, on the issue of cost-sharing arrangements—particularly payments categorized under “other expenditures”—the Tribunal relied on settled Supreme Court jurisprudence to hold that mere sharing of expenses among group entities does not amount to provision of service. It observed that where there is a mutual arrangement with a community of interest and no element of service provider–recipient relationship, such transactions cannot be taxed as services. However, the Tribunal took a nuanced view on certain other issues. With respect to demands relating to software license payments classified as “Online Information and Database Access or Retrieval Services,” as well as issues of short payment of tax and incorrect utilization of CENVAT credit, the matter was remanded to the adjudicating authority. The Tribunal directed fresh examination after providing an opportunity to the assessee to furnish relevant documents and evidence. The Tribunal allowed the appeals partly, setting aside major tax demands on GAM expenses, royalty, and leased circuits, while remanding limited issues for re-adjudication. The ruling reinforces key principles relating to classification of services, taxability of cross-border transactions, and limits on invoking extended limitation in indirect tax proceedings.
