Multimodal Logistics Services Not ‘Cargo Handling Service’: CESTAT

The Customs, Excise and Service Tax Appellate Tribunal (CESTAT), Chandigarh has upheld the order that had dropped a Rs. 40.66 crore service tax demand raised on the company for alleged misclassification of logistics services. The bench of S.S. Garg (Judicial Member) and P. Anjani Kumar (Technical Member) has observed that the company’s multimodal logistics activities — including transportation by road and rail along with terminal handling — cannot be treated as a single composite “Cargo Handling Service”, since each service was separately identifiable and billed individually. Adani Logistics Ltd., engaged in providing multimodal logistics solutions through road, rail, and port-linked terminals, offers services such as transportation of cargo, terminal handling, storage, and container handling for domestic, import, and export shipments. The Service Tax Department alleged that the company had artificially split a composite logistics contract into separate components such as rail freight, terminal handling charges, and goods transport agency (GTA) services to avail abatements and reduce tax liability. According to the department, the activities formed a naturally bundled service whose essential character was “Cargo Handling Service.” On this basis, three show cause notices were issued covering the period April 2009 to March 2015, demanding ₹40.66 crore in service tax along with interest and penalties. However, the Commissioner of Service Tax, Delhi-IV had earlier dropped the entire demand and penalties, prompting the Revenue to challenge the decision before the tribunal. The department argued that the contracts between Adani Logistics and its customers were essentially end-to-end logistics agreements, indicating a single composite service. The department claimed that customers were quoted one consolidated rate for door-to-door logistics, but invoices later split the amount into different service categories. Activities like transportation, loading, unloading, and terminal operations were integral parts of cargo handling, making the entire service taxable under that category. The bifurcation of charges was artificial and intended to claim abatements and reduce service tax liability.Adani Logistics Ltd. The department also relied on statements recorded during investigation suggesting that composite rates had been internally split while preparing invoices. Adani Logistics countered that its services were independent, optional, and separately billed, and customers could choose any combination of services based on their needs. The company explained that its operations typically included multiple stages such as transportation of containers by road under GTA services, cargo handling at terminals or inland container depots, rail transportation handled under the taxable category of transportation by rail, and storage or warehousing services where applicable.Adani Logistics Ltd. Separate rates were clearly specified in contracts and invoices, Service tax had already been paid under the relevant categories, and the department had wrongly assumed the services to be bundled without evidence. The company also relied on judicial precedents and CBEC circulars stating that when transportation and cargo handling charges are shown separately in invoices, tax is payable only on the cargo handling component. After examining contracts and invoices, the tribunal concluded that the department failed to establish that the services were a bundled or composite cargo handling activity. The bench observed that contracts consistently specified separate rates for different services such as terminal handling, rail freight, and road transport. Customers had the freedom to choose the services they wished to avail, which indicated that the services were not naturally bundled. The department relied on only a handful of contracts out of more than 400, making its conclusions unreliable.Adani Logistics Ltd. The tribunal further noted that transportation constituted the dominant component of the overall activity, while cargo handling charges formed only a small fraction of the total contract value. In one example cited by the tribunal, terminal handling charges were less than 4% of the total logistics charges, reinforcing the conclusion that cargo handling was merely incidental to transportation. Rejecting the department’s claim of artificial splitting, the tribunal held that the bifurcation of services reflected the actual scope of work performed and the choices exercised by customers. The tribunal observed that it could not be assumed that the main service was cargo handling when transportation formed the core of the logistics arrangement. It emphasized that the burden of proving that a service is a composite or bundled service lies on the Revenue, which in this case failed to produce adequate evidence. For the period after 1 July 2012, when the negative list regime introduced the concept of “bundled services,” the tribunal held that the same reasoning applied. Since the activities were separately identifiable and could be availed independently, they did not qualify as naturally bundled services under the law. The tribunal also found merit in the company’s argument that part of the demand was time-barred, noting that the department failed to establish suppression or intent to evade tax. Adani Logistics had been regularly filing service tax returns and paying tax under the applicable categories, and the dispute involved interpretation of tax provisions rather than deliberate evasion. CESTAT concluded that the Revenue had not discharged its burden of proving that the services constituted cargo handling or bundled services, and therefore the appeal lacked merit.
