Flipkart’s E-Commerce Delivery Model Qualifies as GTA Service, GST Exemption Available for Unregistered Customers: AAAR

The West Bengal Appellate Authority for Advance Ruling (WBAAAR) has upheld the Advance Ruling granted in favour of Flipkart India Private Limited, ruling that the company’s proposed transportation model for delivery of goods purchased through e-commerce platforms qualifies as a “Goods Transport Agency” (GTA) service under GST law. The bench of R. Srinivasa Naik and Khalid Aizaz Anwar has further held that such services, when supplied to unregistered end-customers, would be eligible for exemption under Serial No. 21A of Notification No. 12/2017-Central Tax (Rate). The appellant, Flipkart India had approached the Authority for Advance Ruling seeking clarity on whether the transportation services proposed to be provided to customers purchasing goods through electronic commerce operator (ECO) portals would qualify as GTA services and whether such services supplied to unregistered customers would enjoy GST exemption. Under the proposed business model, sellers would deliver goods up to a “Source Mother Hub”, after which Flipkart India would undertake transportation of goods by road to the customer’s delivery address. The company stated that customers purchasing goods through the e-commerce platform would separately engage the transporter under the Buyer Terms of Use and would be liable to pay transportation charges. The company also submitted that it would issue a single consignment note for transportation from the Source Mother Hub to the customer’s delivery address, irrespective of intermediate transit points or use of multiple vehicles. It contended that issuance of a consignment note and assumption of responsibility for goods during transit satisfied the essential ingredients of GTA service. Before the Appellate Authority, the Department argued that the proposed activity was not GTA service but was more akin to courier or local delivery service. The Department contended that the transportation involved multiple delivery stages and last-mile delivery through delivery partners using two-wheelers or electric vehicles, which according to the Department resembled courier operations. The Department further argued that a valid consignment note must originate from the consignor or supplier and contain details such as registration numbers of goods carriages involved in transportation. It alleged that the documents proposed to be issued by Flipkart India could not qualify as proper consignment notes. Another key argument raised by the Department was that the end-customer could not be treated as the recipient of GTA service merely because transportation charges were recovered from the customer. According to the Department, delivery of goods was inherently part of the e-commerce ecosystem and constituted a composite delivery arrangement rather than an independent GTA service. Flipkart India countered these submissions by emphasizing that the end-customer independently engaged the transporter and paid transportation charges separately under the Buyer Terms of Use. The company argued that there was no legal requirement mandating that a consignment note must necessarily be issued to the supplier of goods. The company also clarified that it maintained complete transportation records, including vehicle details and transit information, and that use of multiple vehicles during transportation did not alter the character of GTA service. It further argued that the statutory definition of GTA only required transportation by road along with issuance of a consignment note. Significantly, Flipkart India relied upon CBIC Circulars issued during the erstwhile service tax regime which clarified that transportation entirely by road coupled with issuance of a consignment note would qualify as GTA service even if the transportation was time-sensitive. The Appellate Authority examined the proposed transportation structure, Buyer Terms of Use, sample transaction documents, statutory provisions and relevant circulars. It noted that the proposed arrangement involved transportation of goods exclusively by road and issuance of consignment notes by the respondent. The WBAAAR observed that issuance of a consignment note is the key determining factor for classification as a GTA. It also noted that the transporter assumes responsibility and lien over goods during transit, which is a characteristic feature of GTA service. The Authority further held that the proposed activity could not be equated with courier service merely because the deliveries were time-sensitive or involved last-mile delivery. Relying upon earlier CBIC circulars, the Authority observed that where transportation is entirely by road and a consignment note is issued, the service would qualify as GTA service. The Appellate Authority also accepted the contention that the end-customer would qualify as the “recipient” of transportation service under Section 2(93) of the CGST Act since the customer was liable to pay consideration for transportation. The AAAR upheld the ruling that the proposed transportation services qualify as GTA services and that services supplied to unregistered customers are eligible for exemption under Entry 21A of Notification No. 12/2017-Central Tax (Rate).
