Opening Loan Balances Of Unsecured Loans Can’t Be Taxed U/s 68: ITAT

The Delhi Bench of the Income Tax Appellate Tribunal (ITAT) has held that opening loan balances cannot be taxed under Section 68 of the Income Tax Act, 1961. The bench of Anubhav Sharma (Judicial Member) and Manish Agarwal (Accountant Member) observed that opening balances of unsecured loans cannot be treated as unexplained cash credits for the relevant assessment year and further ruled that the assessee had adequately discharged its burden regarding the genuineness and creditworthiness of fresh loan transactions. The dispute related to Assessment Year 2017–18 and arose from cross appeals filed by both the assessee and the Revenue against the order of the Commissioner of Income Tax (Appeals). The charitable society, engaged in imparting education and registered under Sections 12A/12AA read with Section 80G of the Act, had filed its income tax return declaring nil income. During scrutiny proceedings, the Assessing Officer observed that unsecured loans outstanding in the books had increased significantly during the year. The Assessing Officer noted that unsecured loans had risen from approximately ₹3.62 crore as on March 31, 2016, to ₹7.97 crore as on March 31, 2017. Dissatisfied with the documents produced by the assessee, the Assessing Officer treated the entire closing balance of ₹7.97 crore as unexplained credits under Section 68 read with Section 115BBE. Before the Commissioner (Appeals), the assessee filed additional evidence including income tax returns, confirmations and bank statements of lenders to establish identity, genuineness and financial capacity of the loan providers. The assessee also argued that a substantial part of the amount represented opening balances from earlier years and therefore could not be taxed under Section 68 during the year under consideration. The Commissioner (Appeals) accepted the additional evidence under Rule 46A after obtaining a remand report from the Assessing Officer. While sustaining an addition of ₹51 lakh relating to three lenders, the Commissioner deleted the remaining additions. The Revenue challenged the admission of additional evidence before the Tribunal. The Tribunal rejected the department’s objection and upheld the admission of additional evidence. It observed that where documents are crucial and go to the root of the dispute, they should not be discarded merely on technical grounds. The Bench noted that sufficient opportunities had been provided to both sides and that the procedure prescribed under Rule 46A had been duly followed. The Tribunal found that out of the total amount of ₹7.97 crore, around ₹3.62 crore represented opening balances brought forward from earlier years. Since no fresh credits had arisen during the relevant year, the Tribunal held that such balances could not be subjected to Section 68 additions. The Tribunal further examined fresh loans aggregating to ₹5.51 crore received during the year from four parties, namely Shri Pankaj Nakra, Smt. Pravina Gupta, M/s Jyoti Installment Pvt. Ltd., and M/s Venus India Asset Finance Pvt. Ltd. With regard to M/s Venus India Asset Finance Pvt. Ltd., which had advanced ₹5 crore, the Tribunal observed that the assessee had produced a loan agreement, bank statements, income tax records and confirmation documents. The lender was an RBI-registered NBFC and had declared income exceeding ₹21.58 crore during the relevant year. The Bench held that these documents sufficiently established identity, genuineness and creditworthiness. The Tribunal found that the Revenue had failed to bring any material on record to discredit these documents and criticised the remand report for making general observations without undertaking meaningful verification. It stated that once sufficient evidence of financial capacity and banking transactions had been produced, doubts regarding genuineness could not be sustained merely on suspicion. The Tribunal also deleted the ₹51 lakh addition sustained by the Commissioner (Appeals) in relation to loans from three other lenders. It noted that the assessee had produced PAN details, income tax returns, bank statements and confirmations. It further observed that subsequent loans from these entities had been accepted in later assessment proceedings and repayments had not been disputed by the Department. Significantly, the Tribunal observed that the obligation to explain the “source of source” in loan transactions became applicable only from Assessment Year 2023–24 following statutory amendments. Since the year under dispute was Assessment Year 2017–18, such enhanced burden could not be imposed retrospectively. The Bench also reiterated that suspicion, however strong, cannot replace evidence while making additions under Section 68. It observed that the Assessing Officer had not produced any material indicating that the transactions were accommodation entries or that the assessee had introduced its own money in the form of loans. The ITAT allowed the assessee’s appeal and dismissed the department’s appeal, directing deletion of the entire addition made under Section 68. Case Details Case Title: M/s.
