ITAT Quashes Reassessment Citing Unsigned Notice

The Income Tax Appellate Tribunal (ITAT), Delhi Bench has quashed the reassessment proceedings holding that the reassessment notice issued under Section 148 of the Income-tax Act, 1961 was unsigned and therefore legally invalid. The bench of Vikas Awasthy (Judicial Member) has observed that the subsequent notice issued under Section 143(2) was vague and ambiguous, rendering the entire assessment unsustainable in law. The dispute arose from reassessment proceedings initiated by the Income Tax Department against the assessee, Uma Kant Garg, a resident of Delhi. The Assessing Officer issued a notice under Section 148 on March 18, 2024 to reopen the assessment for AY 2020–21. Following the notice, the assessee filed a return of income on June 29, 2024 declaring total income of ₹10,23,800. Subsequently, the Assessing Officer issued another notice under Section 143(2) read with Section 147 seeking clarification on certain issues. However, during appellate proceedings before the tribunal, the assessee challenged the very validity of the reassessment proceedings, arguing that the notices issued by the tax authorities suffered from fundamental legal defects. Appearing for the assessee, Chartered Accountant Shri D. C. Garg contended that the reassessment notice issued under Section 148 and the approval granted under Section 151 by the Principal Commissioner of Income Tax were unsigned. He argued that an unsigned notice lacks legal validity and cannot form the basis of reassessment proceedings. The counsel also pointed out that the notice issued under Section 143(2) was defective because it mentioned that clarification was required “as per annexure,” but the annexure attached to the notice was blank. As a result, the notice failed to specify the issues on which the department sought clarification. According to the assessee, such a vague and unsigned notice violates basic legal requirements and renders the entire assessment proceeding invalid. The departmental representative opposed the assessee’s contentions and argued that the assessee had not raised any specific objections regarding the validity of the notices before the Assessing Officer or the Commissioner (Appeals). The department submitted that the objections were being raised for the first time before the tribunal and therefore should not be entertained. After examining the records, the tribunal noted that the notice issued under Section 148 was unsigned, which means it lacked legal authenticity. The tribunal emphasized that an unsigned notice carries no legal sanctity and cannot confer jurisdiction on the tax authorities to reopen an assessment. The tribunal further observed that the notice itself contained a note stating that if digitally signed, the date of the digital signature would be treated as the document date. However, since the notice was neither physically signed nor digitally authenticated, it would be presumed to be undated and legally defective. Consequently, the tribunal held that reassessment proceedings initiated on the basis of such a defective notice were without jurisdiction and liable to be quashed. The tribunal also examined the validity of the notice issued under Section 143(2). It found that the notice mentioned that clarification was required “as per annexure,” but the annexure attached to the notice was blank. According to the tribunal, such ambiguity and vagueness prevent the assessee from understanding the issues under scrutiny, thereby violating the principles of natural justice. The tribunal concluded that a vague notice of this nature vitiates the entire assessment proceeding. Considering both jurisdictional defects—the unsigned Section 148 notice and the vague Section 143(2) notice—the ITAT held that the reassessment proceedings were legally unsustainable. Accordingly, the tribunal quashed the assessment for AY 2020–21 and allowed the appeal of the assessee. Since the case was decided on jurisdictional grounds, the tribunal stated that the other grounds relating to additions on merits had become academic and therefore were not examined.
