CESTAT Clarifies Individual Houses Can Form Part of ‘Residential Complex’

The Principal Bench of the Customs, Excise & Service Tax Appellate Tribunal (CESTAT), New Delhi, has held that individual houses constructed with common facilities can fall within the definition of a “residential complex.” However, despite making this significant legal observation, the Tribunal ultimately allowed the appeal and quashed the service tax demand on the ground of limitation. The bench of Binu Tamta (Judicial Member) and P.V. Subba Rao (Technical Member) has observed that individual houses with common facilities would squarely fall within the definition of a “residential complex.” The earlier conclusion in Macro Marvel that lawmakers did not intend to tax individual houses appeared contrary to the statutory explanation itself. Since several subsequent decisions had followed Macro Marvel, a larger bench reference could potentially have become necessary to settle the issue conclusively. The dispute arose from an Order-in-Original passed by the Commissioner of Central Goods and Service Tax, Jodhpur. Earlier, the matter had been remanded by the Tribunal with directions to reconsider the issue in light of the Supreme Court decision in Larsen & Toubro Ltd. and to examine factual aspects relating to construction of residential complexes and availability of common facilities in the approved layout. During the proceedings, the appellant strongly relied upon an earlier Tribunal decision in its own case, where it had been held that service tax was not payable on individual houses constructed for the Rajasthan Housing Board. That earlier decision itself relied upon the ruling in Macro Marvel Projects Ltd. v. CST, which had taken the view that individual residential houses did not constitute a “residential complex” under the Finance Act. The Revenue, however, challenged the reliance on Macro Marvel and argued that the earlier decision had reproduced an incomplete definition of “residential complex.” According to the Department, if the complete statutory definition under the Finance Act, 1994 was considered, individual houses forming part of a larger layout with common facilities would also qualify as part of a residential complex. The Tribunal carefully examined the statutory provisions and revisited the reasoning adopted in Macro Marvel. It noted that the earlier ruling had not considered an important explanation appended to the statutory definition. The explanation specifically clarified that a “residential unit” means “a single house or a single apartment intended for use as a place of residence.” The Bench observed that the omission of this explanation had materially affected the conclusion reached in Macro Marvel. The Tribunal stated that Parliament had inserted the explanation precisely to remove doubts regarding the scope of residential units. It explained that while a single building may contain multiple apartments, a residential complex can also consist of multiple individual houses as separate buildings, provided they collectively satisfy other statutory conditions such as common areas and common facilities. However, the Tribunal then turned to another critical issue — limitation. It noted that at the relevant time, the Macro Marvel ruling had already been pronounced and was available in the public domain. Therefore, an assessee could reasonably believe, on the basis of an existing judicial precedent, that service tax was not payable on such activities. The Bench held that under such circumstances, the Department could not invoke the extended limitation period merely because the appellant had not obtained registration, filed returns, or paid service tax. Since the applicable normal limitation period under Section 73 was one year and the show cause notice had been issued on 14 September 2011 for the period 2006–07 to 2009–10, the demand was clearly beyond the permissible period. Consequently, CESTAT allowed the appeal and set aside the impugned order entirely on limitation grounds, granting consequential relief to the appellant.
