GST Registration Cancellation Order Must Be a Speaking Order: Gauhati High Court

The Gauhati High Court has set aside a GST registration cancellation order after holding that an order cancelling registration under the GST regime cannot be a mere formality and must contain clear reasons demonstrating application of mind. The bench of Justice Manish Choudhury observed that a non-speaking and cryptic order cancelling GST registration has serious civil consequences for a taxpayer and therefore cannot survive judicial scrutiny. The petitioner, engaged in the transport business in Assam, had obtained GST registration effective from 07.03.2022. A show cause notice dated 12.02.2025 was later issued by the Proper Officer proposing cancellation of registration on the ground that returns had not been furnished for a continuous period of six months. The notice also suspended the registration with immediate effect and directed the petitioner to submit a reply and appear for personal hearing. According to the petitioner, the show cause notice uploaded on the GST portal escaped his attention due to circumstances beyond his control, and by the time he became aware of it, the cancellation order had already been uploaded on the portal. The petitioner argued that even though he later attempted to seek revocation and appellate remedies, the statutory timelines had expired. It was further contended that the cancellation order issued in Form GST REG-19 was completely non-speaking and failed to record any reasons for cancellation, despite the statutory requirement to do so. The Revenue, on the other hand, argued that the petitioner himself was negligent as he had failed to file returns for a prolonged period and had also failed to file revocation proceedings or an appeal within the prescribed limitation period. While examining the statutory framework, the Court discussed Section 39 of the CGST Act relating to filing of returns, Section 29(2)(c) empowering cancellation of registration for continuous non-filing of returns, and Rules 21 and 22 of the CGST Rules governing suspension and cancellation of registration. The Court reproduced Rule 22 and noted that cancellation proceedings require issuance of a show cause notice in Form GST REG-17 and passing of a reasoned order in Form GST REG-19 where cancellation is ultimately ordered. The Court noted significant deficiencies in both the show cause notice and the cancellation order. It observed that the show cause notice did not even specify the exact months for which returns had allegedly not been filed. More importantly, the cancellation order merely stated that no reply had been submitted and that registration was liable to be cancelled for “Others” under Rule 22(1)/Rule 21A(2A), without assigning any substantive reason. The High Court emphasized that cancellation of GST registration has severe consequences because a taxpayer effectively gets pushed outside the GST framework, making lawful business operations difficult. The Court also noted that the order itself reflected no outstanding Central Tax, State Tax, Union Territory Tax, or cess dues in the statement table. Highlighting the importance of reasoned orders, the Court held that a speaking order is one that clearly states the reasons for the decision and demonstrates conscious application of mind. It observed that even if the taxpayer failed to respond to the show cause notice, such failure would not absolve the Proper Officer from the statutory obligation to pass a reasoned order. The Court further observed that recording reasons is an integral component of principles of natural justice and acts as a safeguard against arbitrary exercise of statutory power. Since Form GST REG-19 itself requires recording of reasons, failure to do so rendered the order legally unsustainable. Rejecting the department’s objection regarding delay in filing the writ petition, the High Court held that the fundamental statutory defect in the cancellation order outweighed the delay in approaching the Court. The Court accordingly quashed the cancellation order dated 17.04.2025 and restored the matter back to the stage of issuance of the show cause notice. The Court also granted liberty to the petitioner either to file a reply to the show cause notice explaining why the registration should not be cancelled, or alternatively to furnish all pending returns and pay outstanding tax dues, interest, late fee and penalty in terms of the proviso to Rule 22(4) of the CGST Rules. A one-month period was granted to avail either option.
