Reassessment Can’t Be Solely Based on Audit Objection: Delhi HC Upholds NTPC’s 80-IA Exemption Claims

The Delhi High Court has dismissed two appeals filed by the Income Tax Department challenging orders of the Income Tax Appellate Tribunal (ITAT) that quashed reassessment proceedings initiated against NTPC Ltd for the Assessment Years (AY) 2011–12 and 2012–13. The bench of Justice Dinesh Mehta and Justice Vinod Kumar held that reopening of assessments merely on the basis of an internal audit objection amounts to a “change of opinion” and is impermissible under law. The controversy arose from reassessment notices issued to NTPC under Sections 147 and 148 of the Income-tax Act, 1961, following an audit objection alleging that the company had wrongly added back proportionate corporate expenses while computing profits eligible for deduction under Section 80-IA. Earlier, the Assessing Officer (AO) had already conducted a detailed scrutiny under Section 143(3) read with Section 147 and examined NTPC’s entitlement to Section 80-IA deduction, including issues relating to carry-forward of losses and eligibility of its combined cycle gas power plant. Although certain disallowances were made, NTPC’s appeals were eventually allowed by the Income Tax Appellate Tribunal in a common order dated 16 February 2024. Subsequently, relying on the audit objection, the AO reopened the completed assessments and passed fresh reassessment orders on 29 December 2017, raising additional tax demands. These were upheld by the Commissioner of Income Tax (Appeals) but were later struck down by the ITAT, prompting the Revenue’s appeals before the High Court. The Income Tax Department argued that the audit objection constituted “new information” that had come to the notice of the AO and therefore justified reopening of assessments. It was further contended that because of the alleged mistake, the exchequer stood to lose around ₹150 crore across the two years, and a liberal approach should be adopted to protect revenue interests. NTPC countered that the Section 80-IA issue had been examined “threadbare” in the original proceedings, running into several pages of analysis. The audit party had merely taken a different view on the same set of facts, which cannot be treated as fresh information. For AY 2011–12, the reopening notice was issued beyond four years from the end of the assessment year, rendering it without jurisdiction. NTPC relied on several precedents, including the Supreme Court’s ruling in Indian and Eastern Newspaper Society v. CIT, which held that an audit opinion on law cannot by itself form the basis for reopening an assessment. The Bench agreed with the ITAT that the reassessment proceedings were triggered solely by the audit objection and not by any independent “reason to believe” formed by the AO. The Court emphasized that the phrase “reason to believe” requires the AO’s own satisfaction based on objective material. An audit objection, at best, reflects an expert opinion and cannot substitute the AO’s independent evaluation. Where an issue has already been examined in detail, reopening the case on the same material amounts to a mere change of opinion. While acknowledging that audit objections can sometimes point out factual errors justifying reopening, the Court found that in NTPC’s case no new fact had been unearthed—only a new perspective on an existing issue. The Bench also noted that if the Department believed the original assessment order to be erroneous and prejudicial to revenue, it could have explored revisionary proceedings under Section 263, subject to statutory conditions, instead of invoking reassessment provisions. Rejecting the Revenue’s plea that large tax stakes warranted a lenient approach, the Court observed that “however big may be the amount, nothing is bigger than the letter of law.” The Delhi High Court dismissed both appeals filed by the Income Tax Department.
