E-Filing Mandatory for Companies; Madras High Court Allows Dept’s Appeal on Section 80-IC Deduction

The Madras High Court has held that companies were mandatorily required to file their returns electronically from Assessment Year (AY) 2008–09 onwards and could not rely on manually filed returns to claim statutory deductions. The bench of Justice Anita Sumanth and Justice Mummineni Sudheer Kumar allowed the Revenue’s appeal and set aside the relief granted earlier by the Income Tax Appellate Tribunal (ITAT). The case arose from a Tax Case Appeal filed by the Income Tax Department against an order of the ITAT, Madras ‘D’ Bench, relating to AY 2008–09. The assessee company had claimed deduction under Section 80-IC of the Income-tax Act, 1961. While the company contended that it had filed a manual return within the prescribed due date, the Department rejected the claim on the ground that the electronically filed return was belated and that Section 80AC mandates timely filing of return as a condition precedent for availing deductions under Section 80-IC. The Assessing Officer completed the assessment under Section 143(3) in December 2010, denying the deduction. This decision was affirmed by the first appellate authority. However, the ITAT allowed the assessee’s appeal, holding that there was no statutory requirement under the Act mandating electronic filing alone and that the CBDT could not override the Act through circulars or schemes. The High Court admitted the appeal to decide, among other issues, whether the ITAT was justified in remanding the matter despite non-compliance with statutory provisions and whether the assessee could claim deduction after failing to file the return electronically as mandated by CBDT notifications. The Division Bench, comprising Justice Anita Sumanth and Justice Mummineni Sudheer Kumar, undertook a detailed analysis of Section 139 of the Act read with Rule 12 of the Income-tax Rules, 1962. The Court noted that while Section 139 deals with filing of returns and due dates, the manner of filing is governed by Rule 12. Referring to the Income-tax (Fourth Amendment) Rules, 2007, effective from 14 May 2007, the Court highlighted that Rule 12(3) specifically required companies to file returns either electronically with a digital signature or by transmitting data electronically followed by verification in Form ITR-V. The option of filing a purely manual return was no longer available to companies from that date. The Court also examined CBDT Circular No. 3/2007, which temporarily permitted companies to file manual returns for AY 2007–08 due to non-availability of software, subject to strict conditions and subsequent mandatory electronic filing within the due date. The Bench held that this relaxation was narrow, time-bound, and did not extend to AY 2008–09. Rejecting the ITAT’s view, the Court observed that the CBDT had not overridden statutory provisions but had acted within its authority to implement procedural changes through valid amendments to the Rules and supporting circulars. The shift to e-filing, the Court said, was a legitimate administrative reform aimed at efficiency and transparency. The High Court held that e-filing of income tax returns by companies was mandatory with effect from 14 May 2007. There was no legal option available to companies to file a manual return for AY 2008–09. A manually filed return could not be treated as a valid return for the purpose of satisfying the conditions under Section 80AC. The ITAT erred in concluding that the CBDT’s e-filing mandate lacked statutory backing. The Bench also took note of the Revenue’s submission that the assessee had successfully filed electronic returns in earlier assessment years, indicating awareness of the statutory procedure. The Madras High Court allowed the Tax Case Appeal and upheld the denial of deduction under Section 80-IC. No order as to costs was passed.
