Flipkart’s Road Transport Services Qualify as GTA: AAR

The West Bengal Authority for Advance Ruling (AAR) has delivered a ruling clarifying the GST implications of road transportation services proposed to be offered through e-commerce platforms, holding that the Flipkart’s Road Transport Services qualify as Goods Transport Agency (GTA) services and are eligible for GST exemption when provided to unregistered customers. The bench of Shafeeq S. and Jaydip Kumar Chakrabarti has observed that the applicant will issue a consignment note in the name of the end customer before undertaking the transportation of goods from the Source Mother Hub to the end customer‘s given address. Accordingly a bill of supply in respect of goods transport charges will be issued in the name of the end customer. The end customer will have the option either to pay the said charges on the platform at the time of placing order or to pay it by cash at the time of delivery. In either case the consideration payable for supply of services (by the applicant) is paid by the end customer. As such the end customer qualifies as recipient of service. The ruling was issued in an application filed by Flipkart India Private Limited, which proposed to introduce a new logistics model under which it would provide transportation of goods exclusively by road to end customers purchasing products through e-commerce operator portals. The Authority examined whether these services would fall within the ambit of GTA services and whether exemption under GST law would apply when the recipients are unregistered individuals Under the proposed model, sellers on the e-commerce platform would deliver goods only up to a designated “Source Mother Hub.” From that point onward, Flipkart India would assume responsibility for transporting the goods to the customer’s delivery address. The movement could involve multiple transit points, such as destination hubs and delivery hubs, and could be executed using trucks, vans, two-wheelers, or a combination thereof, provided the transportation remained entirely by road. The applicant clarified that it would issue a single consignment note covering the entire journey from the source hub to the final delivery address, irrespective of breaks in transit or change of vehicles. The company would also bear responsibility for the goods during transit, arrange insurance cover, and issue invoices clearly disclosing transportation charges to the end customer The core issue before the Authority was whether the proposed activity met the statutory definition of a Goods Transport Agency. Referring to Notification No. 11/2017 and Notification No. 12/2017 under the GST framework, the AAR reiterated that a service provider qualifies as a GTA if two essential conditions are satisfied: the service involves transportation of goods by road, and a consignment note is issued. The Authority observed that the applicant proposed to issue serially numbered consignment notes containing all essential particulars, including details of consignor, consignee, goods transported, place of origin and destination, and the person liable to pay tax. Issuance of such a consignment note, the AAR noted, signifies transfer of lien over the goods and makes the transporter responsible for safe delivery, which is a defining characteristic of GTA services Relying on judicial precedents from the service tax regime and CBIC circulars, the AAR emphasised that issuance of a consignment note is a sine qua non for classification as GTA. It further clarified that transportation need not be limited to trucks alone and may involve multiple modes of road transport, as long as the entire movement is by road. The Authority also examined whether the activity could be classified as courier agency service, which would affect eligibility for exemption. Drawing a distinction between courier agencies and GTAs, the AAR noted that courier services typically involve time-sensitive door-to-door delivery using multimodal transport and generally do not issue consignment notes. In contrast, the proposed activity involved exclusive road transport backed by issuance of consignment notes. Accordingly, the AAR held that the services could not be treated as courier agency services and squarely fell within the GTA category On the question of tax exemption, the Authority examined Serial No. 21A of Notification No. 12/2017-Central Tax (Rate), which exempts GTA services provided to unregistered persons, subject to specified exclusions. The AAR analysed the definition of “recipient” under Section 2(93) of the CGST Act and noted that, in the proposed model, the end customer is liable to bear the transportation charges, even if payment is routed through the e-commerce operator for administrative convenience. Accordingly, the AAR concluded that where the end customer is an unregistered individual, the applicant would be providing GTA services to an unregistered person, making the supply eligible for exemption under Serial No. 21A, provided the recipient does not fall within the excluded categories such as factories, registered societies, body corporates, or partnership firms The ruling also addressed the tax treatment of ancillary services such as loading, unloading, packing, transshipment, and temporary warehousing. Relying on CBIC Circular No. 234/28/2024-GST, the AAR clarified that such services, when provided in the course of transportation of goods by road, form part of a composite supply of GTA services and would follow the same tax treatment as the principal supply.
